These Terms of Service (“Terms”) govern your access to and use of Cutup’s websites, applications, and related services (collectively, the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By using Cutup, you confirm that you are at least the age of majority in your jurisdiction (or have obtained verifiable consent from a parent or legal guardian if required), that you have the legal capacity to enter into a binding agreement, and that you will comply with these Terms and all applicable laws.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.
2. Description of Service
Cutup provides tools to process video and audio content—such as content linked from supported platforms (including, where technically available, YouTube) or files you upload—including extraction, transcription, subtitle generation, translation features (where offered on your plan), summaries, and related export formats (for example, subtitles or text files).
The Service relies on third-party infrastructure, APIs, and AI models. Features, quality, supported platforms, languages, and output formats may change over time. We do not guarantee that any specific URL, file type, language pair, or workflow will always be supported.
2.1 Third-party sources
When you submit a link or identifier to third-party content, you are responsible for ensuring you have the right to access and process that content. Cutup does not claim ownership of third-party media and does not control what third-party platforms allow.
3. User Accounts
You may need an account to access certain features. You agree to provide accurate account and billing information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
Notify us promptly at support@cutup.shop if you suspect unauthorized access. We may require identity verification or additional information to protect account security.
4. Usage Limits
Cutup may apply usage limits based on your subscription plan, fair use, technical capacity, or abuse prevention. Limits may include quotas on processing volume, concurrency, downloads, translation, storage of outputs, or access to premium features.
Limits are described in-product (for example, on pricing pages or in your dashboard) and may be updated. If you exceed applicable limits, we may throttle, queue, suspend features, or require an upgrade. Unused quota may not roll over unless we explicitly state otherwise.
5. Fair Use Policy
We intend the Service for legitimate personal or business workflows—such as captioning, transcription, localization, research, and content operations—not for activities that degrade performance for others or circumvent limits.
Examples of unfair use include: attempting to automate abusive bulk requests, reselling access without authorization, probing or attacking our systems, sharing accounts to pool quotas in ways that violate plan intent, or using the Service primarily to compete with or replicate Cutup’s offering.
We may investigate patterns of use that appear automated, anomalous, or harmful. Determinations are made in our reasonable discretion, and we may contact you before taking action when practicable.
6. Intellectual Property
The Service, including its software, branding, documentation, and aggregated analytics (excluding your content), is owned by Cutup and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal or personal purposes.
You may not copy, modify, reverse engineer, decompile, scrape, or circumvent technical protections except where applicable law prohibits these restrictions. You may not remove proprietary notices.
6.1 Your content
You retain ownership of content you upload or submit for processing, subject to the rights you grant us below. You represent that you have the rights necessary to submit that content and to instruct us to process it.
6.2 License to operate the Service
To provide the Service, you grant Cutup a worldwide, non-exclusive license to host, process, transmit, and display your content solely as needed to operate, secure, and improve the Service, including generating transcripts, subtitles, summaries, translations, and related outputs you request.
We do not sell your private uploads as “training data” for unrelated products unless we notify you and, where required, obtain consent. Technical subprocessors and model providers may process content under agreements consistent with providing the Service.
7. AI-Generated Content Disclaimer
Outputs produced through AI—including transcripts, translations, summaries, and timing cues—may contain errors, omissions, hallucinations, or biases. AI transcription accuracy can vary with audio quality, accents, background noise, domain vocabulary, and language.
You are responsible for reviewing outputs before relying on them for compliance, safety, medical, legal, financial, or public-facing use. Cutup does not warrant that outputs are complete, accurate, or fit for any particular purpose.
Where you publish or distribute AI-assisted subtitles or translations, you should disclose that fact if your jurisdiction or platform policies require it.
8. User Responsibilities
You agree that you will:
- Comply with copyright, trademark, privacy, publicity, and other laws applicable to content you process.
- Obtain necessary rights and consents for any personal data or biometric or voice likeness uses where required.
- Use outputs in line with platform rules (for example, YouTube’s terms and community guidelines when publishing there).
- Maintain backups of important files; the Service is not a substitute for archival storage.
- Not misrepresent Cutup as the source or endorser of your content.
Copyright compliance: You must only process content you own, have licensed, or are otherwise authorized to use. If you receive a valid copyright complaint regarding your use of the Service, we may act as described in these Terms and applicable law.
9. Prohibited Usage
In addition to other restrictions, you may not use the Service to:
- Violate any law or infringe third-party rights.
- Upload or process malware, illegal content, or content that exploits minors.
- Harass, threaten, defame, or discriminate against individuals or groups.
- Attempt unauthorized access to systems, accounts, or data.
- Interfere with or disrupt the Service or other users’ use.
- Use the Service to build a competing product by systematic extraction of our UX, prompts, or non-public documentation.
- Mislead others about the origin or accuracy of generated outputs in high-risk contexts without human review.
We may block, remove, or refuse to process content that we reasonably believe violates these Terms or creates legal or security risk.
10. Subscription & Billing
Paid plans are billed according to the prices and intervals shown at checkout or in your account. Taxes, currency conversion, and payment processor fees may apply based on your location and payment method.
Trials and upgrades: If we offer a trial, its scope and duration will be stated in-product. Upgrades take effect according to the flow you complete; downgrades may take effect at the next renewal unless stated otherwise.
Payment authorization: By submitting payment information, you authorize us and our payment partners to charge applicable fees. Failed payments may result in suspension of paid features until resolved.
Price changes: We may change prices with reasonable notice. Continued use after the effective date may constitute acceptance; if you do not agree, you may cancel before renewal.
11. Refund Policy
Because digital services are delivered immediately and consume compute resources, refunds are generally limited. We may issue refunds or credits where required by law, where a payment error occurred, or where we determine in good faith that the Service materially failed to perform as described.
Refund requests should be sent to support@cutup.shop with your account email, transaction details, and a brief description of the issue. Chargebacks should be a last step after contacting us; abusive chargebacks may result in account closure.
12. Service Availability
We strive for reliable uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, upgrades, third-party outages, internet issues, or force majeure events.
We may modify, deprecate, or discontinue features with or without notice when necessary for security, compliance, or sustainability. Where a change materially reduces core functionality for paying customers, we will use reasonable efforts to provide advance notice when practicable.
13. Limitation of Liability
Disclaimer: The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Cutup disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation: To the fullest extent permitted by law, Cutup and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities, arising from your use of the Service.
Cap: Cutup’s aggregate liability for claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to Cutup for the Service in the three (3) months before the event giving rise to the claim, or (b) fifty euros (€50), except where liability cannot be limited under applicable law (for example, gross negligence or willful misconduct, or statutory consumer rights).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.
14. Privacy
Our Privacy Policy explains how we collect, use, and protect personal information. By using the Service, you acknowledge that we process personal data as described there.
15. Account Suspension
We may suspend or restrict access to your account or specific features if we reasonably believe you violated these Terms, created security risk, exceeded fair use, or must comply with legal process. We will provide notice when legally permitted and when it would not undermine safety or investigations.
16. Termination
You may stop using the Service at any time. You may request account deletion by contacting support@cutup.shop; we will process requests subject to legal retention requirements.
We may terminate or suspend your access for material breach, extended inactivity where permitted, or if continuing the relationship is impractical. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and dispute terms) will survive.
17. Changes to Terms
We may update these Terms to reflect product changes, legal requirements, or risk management. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we may provide additional notice (for example, by email or in-dashboard message).
Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel any paid subscription according to the cancellation flow.

19. General
Governing law: These Terms are governed by the laws applicable to Cutup’s operating entity, without regard to conflict-of-law principles, except that mandatory consumer protections in your country of residence may still apply.
Disputes: You agree to first contact us to seek an informal resolution before initiating formal proceedings, where feasible.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
No waiver: Failure to enforce a provision is not a waiver of our rights.
Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
